Arizona LLCs formed outside Maricopa and Pima counties must publish a Notice of Publication (Form LL-0001) in an Arizona Corporation Commission (ACC) approved newspaper within 60 days of approval. The form, usually sent with the Articles of Organization approval, requires the LLC name, file number, statutory agent, and management structure.
Key Publication Requirements
Required Form: Notice of Publication (Form LL-0001).
Procedure: The notice must run in a newspaper in the county of the LLC's known place of business for three consecutive publications.
Exceptions: No publication is required if the principal address is in Maricopa or Pima County.
Affidavit of Publication: After publication, the newspaper provides an Affidavit of Publication. While not always required to be filed with the ACC, it is recommended to keep this for the LLC's records.
Information Required on the Form
LLC Name: Must match the Articles of Organization exactly.
ACC File Number: The entity ID number assigned by the Arizona Corporation Commission.
Statutory Agent: Name and physical address.
Management Structure: Member-managed or manager-managed.
Members/Managers: Names and addresses of all members or managers.
